These Terms & Conditions (the “Terms”) govern your access to and use of Auto Podcast Pro, a panel extension for Adobe Premiere Pro, together with the Auto Podcast Pro website and any related software, updates, and services (collectively, the “Service”). The Service is provided by JMRSquared IT (Pty) Ltd (CIPC Registration No. K2024351266), a company registered in South Africa (“we”, “us”, or “our”).
By downloading, installing, or using the Service you agree to be bound by these Terms. If you do not agree, do not download, install, or use the Service.
1. The Service
Auto Podcast Pro analyses synced multicam podcast sequences inside Adobe Premiere Pro and writes automatic camera switches to your timeline as a single, undoable operation. All audio and video processing runs locally on your device. Your media files are never uploaded to us or to any third party as part of the editing process.
The Service requires a compatible version of Adobe Premiere Pro and a supported operating system, as described on our website. Adobe Premiere Pro is a product of Adobe Inc.; we are not affiliated with, endorsed by, or sponsored by Adobe.
2. Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Service for your personal or commercial editing work. You may use the Service on devices you own or control.
You may not:
- copy, resell, sublicense, rent, lease, or otherwise distribute the Service;
- reverse-engineer, decompile, or disassemble the Service, except to the extent this restriction is prohibited by applicable law;
- circumvent, disable, or interfere with the trial limits, licensing, or subscription mechanisms; or
- use the Service in any unlawful manner or to infringe the rights of others.
3. Free trial
New users receive a free trial consisting of five (5) full cuts, with every feature unlocked and no payment details required. The trial is intended to let you evaluate the Service on real projects before you pay. We may change or end the trial for future users at any time.
4. Subscriptions & billing
After the trial, continued use of the Service requires a paid subscription. Subscriptions are billed on a recurring monthly basis in South African Rand (ZAR). The current price is shown at the point of purchase and inside the panel; by subscribing you authorise us and our payment processor to charge the applicable fee to your chosen payment method at the start of each billing period until you cancel.
Payments are processed by Paystack. We do not store your full card details. Your subscription renews automatically until cancelled. You can cancel at any time, and cancellation, refunds, and billing errors are governed by our Refund & Cancellation Policy.
5. Your content
You retain all rights to the footage, audio, sequences, and projects you edit with the Service. Because processing happens entirely on your device, we do not access, store, or claim any rights to your content. The edits produced by the Service are non-destructive and written as an undoable operation you remain free to modify.
6. Intellectual property
The Service, including its software, detection models, design, and branding, is owned by us and protected by intellectual-property laws. Except for the licence granted above, these Terms do not transfer any rights in the Service to you.
7. Availability & updates
We may release updates, new detection models, and changes to the Service from time to time. We may also modify or discontinue features. We aim to keep the Service working reliably but do not guarantee uninterrupted or error-free operation.
8. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the automatic cuts will meet your requirements or that the Service will be free of errors. You are responsible for reviewing the output and for backing up your projects. Nothing in these Terms limits any rights you have under the Consumer Protection Act, 2008 or other applicable South African law that cannot be excluded.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential loss, or for loss of data, footage, profit, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim.
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. On termination, the licence granted to you ends and you must stop using the Service.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa, and you agree to the non-exclusive jurisdiction of the South African courts.
